Microsoft Marketplace terms
These terms apply in addition to the Standard Contract for Microsoft Marketplace.
Version 1.1 · Last updated 29 September 2026
These terms are a universal amendment to, and apply in addition to, the Standard Contract for Microsoft Marketplace (the "Standard Contract") for Vibedata acquired through Microsoft Marketplace (the "Offer"). Accelerate Data Pte. Ltd. (UEN 202551619M), a company incorporated in Singapore with its registered office at 68 Circular Road, #02-01, Singapore 049422 ("Accelerate Data", "we", "us", "our"), publishes the Offer. The entity that acquires the Offer is the "Customer". A person whom the Customer authorizes to administer its Vibedata deployment is an "Administrator".
1. Scope and order of precedence
These terms apply to Vibedata acquired through Microsoft Marketplace. If these terms conflict with the Standard Contract on a matter they address, these terms govern for that matter. The version published at https://www.getvibedata.ai/legal/microsoft-marketplace-terms applies. A change to these terms applies to purchases made on or after the change date shown here.
2. Credit packs
A credit pack is purchased when an Administrator grants it in Vibedata. Microsoft bills the pack at the price shown on the Microsoft Marketplace listing. A grant cannot be reversed or refunded because the usage event reported to Microsoft cannot be withdrawn. The number of credits in a pack is published at /marketplace/azure and may change for grants made after the change.
3. Starter Pack
Each deployment receives one free Starter Pack when it is provisioned: one per deployment identifier. A redeployment is a new deployment and receives a new Starter Pack. The Starter Pack has no time limit and does not expire. Its credits are used before purchased credits. The Customer may purchase credit packs at any time, including while Starter Pack credits remain. The Starter Pack size may change for deployments provisioned after the change. It has no cash value.
4. Credits
Credits belong to the deployment to which they were granted. They cannot be transferred to another deployment, another cloud, or another customer. Purchased credits expire 12 months after the credit pack is granted. Purchased credits are used in order of soonest expiry. The method for counting credits is published at /marketplace/azure.
5. Monthly purchase limit
The Customer may set a maximum number of credit packs that may be purchased for a deployment in each calendar month. The limit applies to that deployment only. Lowering the limit does not affect credit packs already granted.
6. Model providers
Vibedata uses model providers chosen by the Customer, which contracts with those providers directly. The Customer is responsible for its provider contracts and charges. Credits measure Vibedata usage; they are not charges from model providers.
7. Billing records
At provisioning, the deployment requests its Starter Pack and default pack size from Accelerate Data. That request is recorded with the commercial events but is not reported by Microsoft. For each other commercial event — deployment creation, credit pack grant, and a private-offer key unlock — the deployment reports the event to Accelerate Data and Microsoft reports the same event. Accelerate Data reconciles the reports.
Once a day, the deployment writes a usage record to immutable storage in the deployment's resource group in the Customer's Azure subscription. The record contains intent identifiers and credit counts. It contains no prompts, code, or customer content. The Customer must not disable, delete, or alter the storage or the reporting. The reconciled record is the basis for billing and for resolving a billing dispute. These records are used only for billing and for resolving billing or legal disputes.
Accelerate Data does not access the usage records, except to resolve a billing or legal dispute between Accelerate Data and the Customer. During such a dispute, the Customer will make the relevant usage records available to Accelerate Data in the resource group, as reasonably required to resolve the dispute, and will not delete, alter, destroy, withhold, or otherwise obstruct access to them until the dispute is resolved. Accelerate Data's read access under section 8 does not extend to the usage records outside such a dispute.
8. Access to the deployment
Accelerate Data has read access to the managed resource group. Accelerate Data receives elevated access only through a just-in-time request using Microsoft Entra, which the Customer must approve for the requested window. Accelerate Data uses this access only to support and maintain the Offer.
9. Suspension
If Microsoft reports a deployment's managed application as inactive, Accelerate Data may stop providing the Offer to that deployment until Microsoft reports the managed application as active.
10. Reservations
Discounted pricing is available only through a Microsoft Marketplace private offer. A private offer's discount applies for the term stated in that offer. After that term, the Microsoft Marketplace listing price applies.
11. Personal data
Personal data is handled as described in the marketplace privacy page.
